Terms of Business
Last reviewed October 2026.
This page is scaffolding. It sets out the clauses these terms need and flags every figure that must match what is published elsewhere on the site. Master document §5.8: if the terms and the marketing copy disagree, the marketing copy is the one a buyer will rely on. Before launch, one person must check this page against the homepage commitments, the How It Works page and the FAQ. Draft or review by a lawyer is required.
1. Who these terms are between
Angel Sourcing and the buyer named on the order confirmation. Angel Sourcing GSTIN: 27AKOPT6329D1ZR.
2. What we do
We source fabric, place and manage the order with the mill, inspect the goods before shipment, import them on our own account, clear them through customs and deliver them to the buyer. The buyer is not the importer of record and is not a party to any contract between Angel Sourcing and any mill.
3. Quotations and orders
A quotation states a landed price per metre and its validity is stated on the quotation. An order is formed when we issue an order confirmation and the booking payment is received.
4. Minimum order quantity
100 metres per quality, per shade.
5. Samples and approval
Bulk is matched against the swatch, header or lab dip the buyer has approved in writing. Approval is required before bulk production begins. Samples are free; courier and transportation charges are borne by the buyer.
6. Payment
30% of the order value falls due on booking. The balance falls due before dispatch from our warehouse, which is after the goods have landed and cleared customs.
7. Lead times
Lead times quoted are indicative and are confirmed stage by stage with each order: production, sailing, customs clearance, warehouse and dispatch.
8. Quality, shrinkage and shortage
Angel Sourcing absorbs shrinkage of up to 5% and shortage of up to 5%. Variation beyond those tolerances is taken up by Angel Sourcing with the mill and resolved fairly with the buyer.
9. Inspection and claims
Goods are inspected before shipment. Any claim on delivered goods must be raised within promptly after delivery, with the goods unprocessed and available for inspection.
10. Title and risk
Title passes on payment in full. Risk passes on delivery to the buyer's nominated address.
11. Confidentiality
Angel Sourcing does not disclose supplier, mill or factory identities. The buyer's requirements, specifications and designs are not shared outside Angel Sourcing.
12. Cancellation
Cancellation terms are stated in the order confirmation and depend on whether the fabric has already been booked with the mill.
13. Force majeure
Neither party is liable for delay caused by events outside its reasonable control, including shipping disruption, port or customs delay and regulatory change.
14. Governing law
Governing law and jurisdiction are stated in the applicable order documentation.
